Terms & Conditions

1. AGREEMENT TO TERMS

By engaging R2A Visuals for any creative visual media services, the client ("Client") agrees to be bound by the following terms and conditions ("Terms"). These Terms, along with any separate written proposal or contract for specific services, constitute the entire agreement between the Client and R2A Visuals.

 

2. SERVICES AND SCOPE OF WORK

To maintain transparency, r2avisuals defines the scope of every project using an itemized structure. Any requests falling outside the initial agreement will be billed as additional charges.

  • Creative Production Scope:

    • Hourly Minimums: Sessions are booked in specific blocks (e.g., 2-hour, 4-hour, or full-day). The clock begins at the scheduled start time, regardless of client delays.

    • Overtime Rates: If a shoot exceeds the agreed timeframe, an additional hourly rate will be applied to compensate for the extra time on-site.

    • Media Allotment: The scope defines the specific number of final images or the length of the highlight reel. Requests for raw files or additional edits are considered outside the standard scope.

  • Professional Itemization:

    • Equipment Fees: Specialized needs such as professional lighting kits, drone aerials, or high-end audio setups are billed as separate line items.

    • Additional Personnel: Projects requiring a second shooter, lighting assistant, or production grip will have those costs added to the total.

    • Travel & Logistics: For locations outside the immediate service area, fees for mileage, tolls, or lodging will apply.

  • Post-Production & Revisions:

    • Editing: Base fees include standard color correction and professional editing. Advanced retouching or heavy manipulation is billed per image or hour.

    • Revision Policy: Each project includes one round of minor revisions. Significant changes to creative direction or extra rounds of edits will incur a revision fee ($150). 

  • On-Site Changes:

    • Scope Creep: If objectives change significantly on-site (e.g., adding locations or subjects), r2avisuals reserves the right to adjust the final invoice to reflect the updated workload.

3. PAYMENT AND DEPOSIT

  • Booking Deposit: A 30% non-refundable deposit is required to secure your date and time. This ensures mutual commitment and covers administrative preparation for your session.

  • Final Payment: All remaining balances must be settled in full on or before the day of the shoot.

 

4. CANCELLATION AND RESCHEDULING

  • Cancellation: If the client cancels a project, the non-refundable deposit will be forfeited. If the project is canceled within 7 days of the scheduled shoot or deadline, the client may be responsible for the full project fee, unless otherwise agreed upon in writing.

  • Rescheduling: The client may request to reschedule a project without penalty if the request is made at least 7 days prior to the scheduled date. Rescheduling requests made within 7 days may result in a rescheduling fee.

  • Force Majeure: R2A Visuals is not liable for delays or failure to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, severe weather, or unforeseen technical failures. In such cases, R2A Visuals will work with the client to reschedule the project.

 

5. COPYRIGHT AND USAGE RIGHTS

  • Copyright: r2avisuals retains primary ownership of all raw and edited media captured with our professional equipment.

  • Marketing & Portfolio: r2avisuals reserves the right to use captured media for branding, social media, and portfolio displays unless a non-disclosure agreement (NDA) is signed prior to the shoot.

  • Client Usage: Clients are granted usage rights for the final delivered products. Commercial usage or long-term licensing terms will be defined based on specific project needs.

 

6. CLIENT RESPONSIBILITIES

The client is responsible for: a. Providing clear and timely communication, feedback, and all necessary materials (e.g., product samples, access to locations). b. Securing all necessary permissions, licenses, and releases for any locations, properties, or individuals featured in the visual media. c. Ensuring all provided information and materials are accurate and do not infringe on any third-party rights.

 

7. LIMITATION OF LIABILITY

  • a. In the event of an unforeseen technical failure, loss of data, or any other issue that prevents R2A Visuals from delivering the final product, R2A Visuals' liability is limited to the return of any fees paid by the client, less any expenses incurred.

  • b. R2A Visuals is not liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the delivered visual media.

 

8. COMMUNICATION & AVAILABILITY

  • Business Hours: To ensure dedicated focus on current projects and a healthy work-life balance, all professional communications are handled during standard business hours.

  • After-Hours: Any messages or calls received after 7:00 PM or on Sundays will be addressed the following business morning.

 

9. GOVERNING LAW

This agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, United States.

 

10. DISPUTE RESOLUTION

Any disputes arising from this agreement shall be resolved through good faith negotiation between the parties. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

 

11. ENTIRE AGREEMENT

These Terms, together with the project proposal, constitute the entire agreement between the Client and R2A Visuals and supersede all prior or contemporaneous understandings and agreements.

 

12. ACKNOWLEDGMENT OF TERMS

By making a deposit or otherwise confirming their engagement with R2A Visuals, the client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
